The terms “we”, “us”, and “our” refer to Yzly™ (ABN 28 408 943 349). Yzly operates this website and online store, including all related information, content, digital downloads, products, services, tools and features (collectively, the “Services”). Our Services are powered by Shopify, which enables us to securely provide our products and services to customers.

By accessing or using our Services, purchasing any product, downloading any material, or otherwise interacting with our website, you agree to be bound by these Terms of Service, together with our Privacy Policy and Refund Policy.

If you do not agree to these Terms, you must not access or use the Services.

SECTION 1 – ACCESS AND ACCOUNT

By using the Services, you confirm that you are at least 18 years of age or the age of legal majority in your jurisdiction.

You agree that any information you provide is accurate, current and complete.

You are responsible for maintaining the security of your account credentials and for all activity conducted under your account.

Accounts may not be transferred, sold or assigned without our written permission.

SECTION 2 – OUR PRODUCTS

Yzly provides digital educational products, including facilitator guides, workshops, courses, templates, learning resources and related materials.

Unless expressly stated otherwise:

  • all products are supplied electronically;
  • no physical products are shipped;
  • downloads become available after successful payment processing.

While every effort has been made to ensure the quality and accuracy of our products, they are provided as educational resources only.

We do not guarantee that using our products will result in any particular commercial, financial, operational or professional outcome.

Product descriptions, pricing, availability and content may be updated or discontinued at any time without notice.

SECTION 3 – ORDERS

Submitting an order constitutes an offer to purchase.

Orders are accepted only after payment has been successfully processed.

We reserve the right to refuse, cancel or limit any order at our discretion.

Digital product purchases are subject to our Refund Policy.

Once a digital product has been downloaded or accessed, refunds are generally unavailable except where required under Australian Consumer Law or other applicable legislation.

SECTION 4 – PRICING AND PAYMENT

All prices are displayed in Australian Dollars (AUD) unless otherwise stated.

Prices may change without notice.

You agree to provide accurate payment information and authorise us to charge the applicable purchase price and any applicable taxes.

SECTION 5 – DIGITAL DELIVERY

All products are delivered electronically.

Downloads are generally available immediately after successful payment.

Occasionally delivery may be delayed because of payment verification, scheduled maintenance or technical issues.

SECTION 6 – INTELLECTUAL PROPERTY AND LICENCE

All Yzly products, facilitator guides, workshops, learning resources, templates, graphics, text, designs, logos, videos, downloads and all other content made available through the Services are the exclusive intellectual property of Yzly unless otherwise stated.

They are protected under the Copyright Act 1968 (Cth), Australian trademark law and applicable international intellectual property laws.

Licence

Purchase of a Yzly product grants the purchasing individual or organisation a non-exclusive, non-transferable, revocable licence to use the purchased material.

Ownership of the intellectual property is not transferred.

Unless otherwise expressly stated, the licence permits the purchasing individual or organisation to:

  • use the materials internally;
  • share the materials with employees within the purchasing organisation;
  • store the materials on internal business systems;
  • use the materials for internal education, facilitation and capability development.

The licence does not permit:

  • resale;
  • redistribution outside the purchasing organisation;
  • sublicensing;
  • publication;
  • uploading to public websites;
  • uploading to public learning management systems;
  • uploading to public repositories;
  • sharing through public file-sharing services;
  • removing copyright notices;
  • modifying the materials for resale;
  • incorporating Yzly materials into another commercial product;
  • claiming ownership of Yzly intellectual property.

Any use outside the scope of this licence requires prior written permission from Yzly.

SECTION 7 – ARTIFICIAL INTELLIGENCE

Unless expressly authorised in writing, Yzly materials may not be:

  • used to train artificial intelligence models;
  • used to fine-tune machine learning systems;
  • incorporated into retrieval datasets;
  • used to improve large language models;
  • used as source material for AI-generated commercial products.

SECTION 8 – OPTIONAL TOOLS

The Services may provide access to third-party tools.

These tools are provided “as is” without warranty.

Your use of any third-party service is entirely at your own risk and subject to that provider’s own terms.

SECTION 9 – THIRD-PARTY LINKS

Our Services may contain links to third-party websites.

Yzly is not responsible for the content, products, services or practices of those websites.

SECTION 10 – PRIVACY

Your use of the Services is governed by our Privacy Policy.

Because our store is hosted on Shopify, certain information may also be processed by Shopify in accordance with Shopify’s Privacy Policy.

SECTION 11 – FEEDBACK

If you submit suggestions, ideas or feedback, you grant Yzly a perpetual, worldwide, royalty-free licence to use that feedback for improving and promoting our Services.

You remain responsible for ensuring your feedback does not infringe the rights of others.

SECTION 12 – ERRORS

Occasionally our website may contain errors relating to pricing, descriptions or availability.

We reserve the right to correct those errors and cancel affected orders if necessary.

SECTION 13 – PROHIBITED USES

You must not:

  • use the Services for unlawful purposes;
  • infringe intellectual property rights;
  • upload malicious software;
  • interfere with website security;
  • scrape or harvest data;
  • impersonate another person;
  • redistribute purchased digital products outside your licence;
  • share download links with unauthorised persons;
  • remove copyright notices;
  • create competing commercial products using Yzly materials;
  • use Yzly content to train or improve AI systems;
  • use automated systems to access the Services without permission.

Violation of these Terms may result in immediate suspension or termination of your account and licence.

SECTION 14 – LICENCE TERMINATION

Yzly may terminate your licence immediately if you materially breach these Terms.

Upon termination, you must immediately cease using the affected materials and destroy any unauthorised copies unless retention is required by law.

Termination does not affect any legal rights or remedies available to Yzly.

SECTION 15 – DISCLAIMER

Our products are educational resources only.

Nothing provided through the Services constitutes legal, financial, taxation, employment, psychological or other professional advice.

To the maximum extent permitted by law, the Services and all products are provided “as is” and “as available.”

SECTION 16 – AUSTRALIAN CONSUMER LAW

Nothing in these Terms excludes, restricts or modifies any rights or remedies available under the Australian Consumer Law.

Where a product suffers a major failure under the Australian Consumer Law, you may be entitled to a refund, replacement or other remedy provided by law.

Where permitted by law, Yzly’s liability is limited to either:

  • re-supplying the digital product; or
  • refunding the purchase price.

SECTION 17 – LIMITATION OF LIABILITY

To the maximum extent permitted by law, Yzly shall not be liable for any indirect, incidental, consequential, exemplary or special damages, including loss of profits, revenue, business opportunity, goodwill or data arising from the use of our Services or products.

SECTION 18 – INDEMNITY

You agree to indemnify and hold harmless Yzly, its directors, employees, contractors and affiliates from any claim, liability, loss, damage, cost or expense arising from:

  • your breach of these Terms;
  • your misuse of Yzly materials;
  • your unauthorised distribution of licensed materials;
  • your infringement of any intellectual property rights;
  • any training, facilitation or instruction delivered by you using Yzly materials.

SECTION 19 – SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

SECTION 20 – ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Yzly regarding your use of the Services.

SECTION 21 – ASSIGNMENT

You may not transfer your rights under these Terms without our written consent.

Yzly may assign these Terms without notice.

SECTION 22 – GOVERNING LAW

These Terms are governed by the laws of the State of Victoria, Australia.

Any dispute arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.

SECTION 23 – CHANGES TO THESE TERMS

We may update these Terms from time to time.

The latest version will always be published on our website.

Continued use of the Services after updated Terms are published constitutes acceptance of those changes.
